Coral Club International (“Coral Club”) Canadian Personal Use Sales Agreement

Please note that Coral Club’s products are not licensed or approved for sale and distribution in the Canadian marketplace.

However, certain Coral Club’ products are, subject to certain terms and conditions, available to Canadians who wish to purchase those products from Coral Club in the United States, and thereafter import the products themselves to Canada on a personal use basis.

The terms and conditions, which follow from Health Canada’s Bringing Health Products into Canada for Personal Use – GUI-0116, are set out below, and each constitutes a condition precedent to Coral Club’ agreement to sell product in the United States to Canadian purchasers:

Conditions Precedent
You hereby certify and agree as follows:

• (a) You are purchasing Coral Club product (“Coral Club Product(s)”) as a Personal Use Importation, as defined below;
• (b) You are not a health practitioner importing Coral Club Product for a patient under your care;
• (c) You will not divert any shipment of Coral Club Product for commercial or illicit purposes;
• (d) You will not order more than a 90-day supply of any Coral Club Product within any 90-day period;
• (e) You agree to purchase Coral Club Product on an EXW (Ex Works) Coral Club’s warehouse basis (per Incoterms 2020), with all rights and title to the products passing to you at Coral Club’s warehouse facilities in the USA; and
• (f) You undertake responsibility and obligation for all shipping, courier/carrier, and customs formalities in respect of the export of Coral Club Product from Coral Club’ warehouse facilities in the USA and import of the Coral Club Product to Canada to your shipping location in Canada, wherever that may be.

“Personal Use Importation” means that you are importing the Coral Club product for your own use, or for the use of another person/animal under your care or guardianship, and not for further resale and generally contain no more than a 90-day supply.

Agency Authorization re Loading, Shipping and Import
To the extent you have asked Coral Club to load and ship your purchased Coral Club Products to you in Canada, you also hereby authorize Coral Club (and Coral Club accepts) to act for, on behalf of, and as, your legal authorized agent for the purposes of loading and shipping your purchased Coral Club Products to you in Canada to such destination as specified by you in your order. There will be no additional charge to you for Coral Club’s services to act as your agent in this regard.

You further expressly authorize Coral Club contract as your agent with such third-party common carriers (FedEx, etc. the “Common Carriers”) to arrange for the loading and shipping of your purchased Coral Club Products from Coral Club’ warehouse facilities in Georgia, USA to you in Canada. You further agree to assist Coral Club, any Common Carriers, and any associated customs brokers for the purposes of facilitating any requirements on the same, or you as importer, pursuant to the Canada Border Services Agency Assessment and Revenue Management system (“CARM”).

You further agree to act as the exporter (with Coral Club as your agent) of your purchased Coral Club Products from the United States. You further agree to act as the importer (with Coral Club as your agent) of your purchased Coral Club Products into Canada and for Canadian customs purposes. Accordingly, any applicable customs duties and taxes due on import to Canada will be payable by you on your account.

You further agree to be responsible as principal, for all costs incurred by Coral Club in acting as your agent, including without limiting the generality of the foregoing, reimbursement for costs of shipping, freight, transportation and/or insurance incurred by Coral Club in acting on your behalf, provided those costs shall contain no mark-up or profit component on the part of Coral Club.

You further agree that an estimate of shipping, duties, and taxes payable by you on the import of the purchased products to Canada will be charged to your credit card at the time of shipping. To the extent the estimate differs from actual shipping and duties/taxes payable by you, additional charges (if the estimate is insufficient to cover the costs incurred by Coral Club as agent) or a credit (if the actual charges incurred as agent are less than the estimate originally applied) will be applied to your credit card within * days of shipping.

You hereby authorize such additional charges or credit amounts, as the case may be.
